Wcargoplus Convertible Subscription Terms & Conditions
Learn how Wcargoplus subscriptions work, how Convertible Credits are earned, and what they mean for future equity or revenue-sharing opportunities.
1. Introduction
The Wcargoplus Convertible Subscription provides users ("Subscribers") with Convertible Credits, which may be used in the future for equity or revenue-sharing opportunities. These credits do not currently grant ownership or dividends but may be converted under specific conditions.
2. Subscription Plans
- Basic Plan: €100 per month
- Annual Plan: €1,000 per year (discounted from €1,200)
Both plans provide Convertible Credits based on the subscription amount and duration.
3. Convertible Credits System
- For every €10 paid, a Subscriber earns 1 Convertible Credit.
- Credits are recorded in the user’s account and remain valid as long as the subscription is active.
- Credits cannot be used for platform features or services and have no cash value.
4. Future Conversion to Equity or Revenue Share
When Wcargoplus secures external funding (such as angel investment, venture capital, or a public offering), Subscribers will have the opportunity to convert their Convertible Credits into:
- Company Shares: Credits may be exchanged for ownership shares at a pre-determined conversion rate (e.g., 100 credits = 1 share).
- Revenue Sharing: Credits may entitle the holder to a share of future company revenue, distributed periodically.
The exact conversion terms will be determined at the time of fundraising.
5. Payment and Subscription Terms
- Billing Cycle: Subscriptions are billed either monthly (€100/month) or annually (€1,000/year).
- Renewal: Subscriptions automatically renew unless canceled.
- Cancellation: If a Subscriber cancels, they retain their earned credits but will not accumulate new ones. Credits may not be eligible for conversion without an active subscription.
6. Refund and Termination Policy
- Refunds: Available only for Annual Plans within 30 days of purchase. No refunds after this period.
- Program Discontinuation: If Wcargoplus ends the Convertible Subscription Program, Subscribers will be notified and provided a final conversion offer or alternative compensation if available.
7. Legal Disclaimer
- No Guaranteed Equity or Payouts: Credits do not guarantee future equity, revenue share, or any financial return.
- Regulatory Compliance: Any future share issuance will comply with laws in Spain and other relevant jurisdictions.
- Right to Modify Terms: Wcargoplus may update these terms based on changes in the subscription model or regulations.
